One simple commercial license

All items from Soft-Tech Technology LLC have the same simple license terms. You get broad commercial rights, so you can use items with confidence on work or personal projects.

Register items each time you use them

Each time you download an item, you get an ongoing license for a single, specified use. If you want to use an item again for a different project, it’s not a problem! Simply visit your downloads and register it again for that new end use.

Clear guidelines on what's not allowed

Some common-sense limitations do apply, as set out below:

  • You can't re-sell, or re-distribute items.

  • You can't use items in on-demand services

  • You generally can't use items as the basis for merchandising. For example, printing a logo from Soft-Tech Technology LLC straight onto a T-shirt is not allowed.

Future proof licensing, even if you unsubscribe

If you unsubscribe, you can no longer use items from Soft-Tech Technology LLC. However, any existing uses that you've already registered are still covered. That's a great way to ensure peace of mind!

About us and this license

  1. Welcome: This is the Soft-Tech Technology LLC License (Soft-Tech License), applicable to Individuals and Teams subscriptions for Soft-Tech Technology LLC only. If you require Enterprise license rights for Soft-Tech Technology LLC, please contact us.

  2. Terms: The Soft-Tech License is a legally binding agreement between you and us for your use of items. It supplements and is part of the Soft-Tech Technology LLC User Terms. If there is any inconsistency between this license and the Soft-Tech Technology LLC User Terms, the Soft-Tech License will take priority to resolve the conflict.
  3. Definitions and interpretation: Unless otherwise defined here, terms explained in the Soft-Tech Technology LLC User Terms have the same meaning in this Soft-Tech License. Words like ‘include’ and ‘including’ are not words of limitation. When we state that something is ‘within our discretion,’ we mean our sole discretion.

The low-down! The nuts and bolts of the Elements License

  1. License granted: For each item that you download and register under your Soft-Tech Technology LLC subscription, you are granted a license to use the item on a non-exclusive, commercial, worldwide, and revocable basis, for one single use per registration. Please take the time to read the terms of this Soft-Tech License and the Soft-Tech License FAQ, as your use of any item is subject to your agreement to this license.

    To license and use an item, you must have a valid and active subscription with Soft-Tech Technology LLC. Each time you download and register an item, you get a license for a single use of that item. If you want to use an item on future projects, simply register it again for each end-use.

  2. Item ownership: The items available on Soft-Tech Technology LLC are owned by their respective creators. You can't claim ownership of an item, even if you modify it (for example, through content identification systems). You only have the right to license each item according to the terms of this Soft-Tech License.
  3. Single use: For items other than Fonts and Add-ons, a single use is the use of the item to create one type of End Product. This requires an application of your own skill and effort, and you can do so in one of the following ways:
    1. For an item that is a template, the End Product is a customized implementation of that item.
    2. For an audio item, the End Product is an audio-visual or audio-only work where the music is synced with other elements. The final work must be larger in scope and different in nature than the original item.
    3. For other types of items, including videos, graphics, photographs, and 3D files, the **End Product** is a new work that incorporates the item along with other things. The final work must be larger in scope and different in nature than the original item.
  4. Single use for Fonts and Add-ons: For Fonts and Add-ons, a **single use** is defined as the installation of the item on your device. The license starts when you register the installation, and you can then use the Font or Add-on to create as many projects as you like, for as long as your **Soft-Tech Technology LLC** subscription remains active.
  5. License commencement: The license for an item begins when you register your use of it and is only valid if you complete the End Product while your subscription is active. Once a registered item has been incorporated into a completed End Product during an active subscription, the license becomes perpetual. This means it continues for the life of the End Product, even after your subscription ends.
  6. Distribution rights: Each license for an item includes the right to perform, broadcast, display, distribute, and reproduce it, but only as part of the End Product you've created with the item. For audio items, there are special limitations on these rights; please see sections 14 and 15 for details.

Usage terms for items

  1. Things you can do with an Item: Where an Item has been used to create an End Product:
    1. Limited sublicense:
      1. You can use an item to create an End Product for yourself or for a client. If you create an End Product for a client, you can transfer the final product to them, but only after you have met the requirements in sections 5 and 6 and your subscription remains active.
      2. When you transfer an End Product to a client, you are essentially giving them a limited license to use the items within it. Your client can only use the item as it is necessary for the End Product. They are not allowed to extract, reproduce, or use the item in any other way.
    2. Multiple copies: You can make any number of copies of the End Product created with an item.
    3. Distribution: You can distribute the End Product through multiple media, as set out in this Soft-Tech License.
    4. Modification: You can modify or manipulate an item, or combine it with other works, to suit your End Product. Just remember that the final works you create are still subject to the terms of this license.
  2. Items with multiple assets: If an item contains multiple assets, you can use more than one asset to create an End Product. However, if you want to use different assets from that same item to make different End Products, you must first register the item for each separate End Product.
  3. Things you can’t do with an Item:
    1. You can’t use an item to create an End Product after your Soft-Tech Technology LLC subscription ends. If you've installed an item (such as a Font or Add-on) on your device, you must uninstall it once your subscription ends.
    2. You cannot redistribute an item as stock, in a tool or template, or with source files. This is not allowed whether the item is on its own or bundled with other items, and it's still prohibited even if you modify the item. You also can’t redistribute or make the item available as-is or with only minor changes, even if you’re doing it for free.
    3. You cannot use an item in any application that allows an end user to customize a digital or physical product. This includes 'on demand,' 'made to order,' or 'build it yourself' applications.
    4. You cannot use an item for merchandising, which we define as an End Product where the primary value of the product lies in the item itself, including:
      1. An End Product where the item is the core component and, without it, the product wouldn't fundamentally differ from any other product of a similar nature.
      2. An End Product where the item is what makes the product unique and valuable, serving as the main reason for its sale.
    5. You must not allow an end user to extract an item and use it separately from the End Product you've created.
    6. You can’t claim trademark or service mark rights over an item within the End Product you created. However, this doesn’t prevent you from claiming these rights over text or designs you create using an item (like a Font or Add-on), as long as the trademark or service mark rights aren't claimed over the item itself.

Miscellaneous

  1. Third party licenses: Some items may contain components from a third party, and different license terms may apply to those components, such as an open source or Creative Commons license. If so, the component will be identified in the item’s description or in the downloaded files. The third-party license will then apply to that specific component instead of this Soft-Tech License. To be clear, the Soft-Tech License will still apply to all other components of the item.
  2. GPL Licenses: For some items, a GNU General Public License (GPL) or another open source license may apply. The terms of any applicable open source license will be included with the item (as a .txt file or, in some cases, embedded within the item itself). The open source license will apply to any parts of the item that are subject to it. For all other parts of the item, this **Soft-Tech License** (and any third-party licenses, in accordance with section 16) will apply.
  3. Responsibility for Items: We are not responsible for the accuracy of the items, including the descriptions and any keywords provided by the creator, nor are we responsible for any component of an item sourced from a third party. The content used by the creator to demonstrate how the item works (for example, photos in themes and audio files for videos) may have been sourced from a third party. It is your responsibility to check the files before you use the item to ensure there is an appropriate license for your intended use. You can do this by downloading the item for a **Trial Use** and checking the files in the download package (in the documentation or licensing folders) before you use it in a project.
  4. Acceptable use of Items: You can only use an item for lawful purposes and in accordance with our Acceptable Use Policy. This means you cannot use an item with any material that is offensive, defamatory, pornographic, obscene, demeaning, or promotes discrimination. If an item contains an image of a person, even if a model release is provided, you cannot use it to create a fake identity, imply the person endorses a product, or in connection with any sensitive subjects.
  5. Termination: We may terminate this Soft-Tech License for any item at any time, especially if you breach the Soft-Tech Technology LLC User Terms or this license and do not fix the breach immediately. Upon termination, you must stop using the item. This means you can no longer make copies of or distribute the **End Product** created with that item, unless you remove the item from it.
  6. Changes to this Elements License: We may modify this Soft-Tech License at any time. We will post the most current version of this license on our website. By continuing to use Soft-Tech Technology LLC and its items after any revised terms become effective, you agree to be bound by the new license.
  7. Governing law: This Soft-Tech License is governed by and will be interpreted in accordance with the laws of the State of New York, without regard to any conflict of laws principles.
